These Terms Of Use govern access to the Aperatex website, communications, review-request process, and related services. By accessing the website or submitting a request, you agree to these terms.

By accessing or using the Aperatex website, submitting information, requesting an invoice review, or otherwise interacting with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms Of Use and our Privacy Policy. If you do not agree, do not use the website or submit information. If you act for an organization, you represent that you have authority to bind that organization.

2. Nature Of The Service

Aperatex provides financial and operational invoice auditing, review, documentation, and related support. Aperatex is not a law firm, does not provide legal, tax, accounting, investment, or other regulated professional advice, and does not represent clients in legal proceedings. Information on this website is general information only and is not a substitute for advice from qualified professional advisers.

3. No Fiduciary Relationship

Aperatex does not act as a fiduciary, trustee, agent, attorney, investment adviser, financial adviser, or other representative of any client or website user. No use of the website, submission of information, review of an invoice, communication, recommendation, or service relationship creates fiduciary duties. Clients remain solely responsible for their own decisions, approvals, payments, negotiations, legal positions, and relationships with counsel and vendors.

4. No Guarantee Of Savings Or Results

Aperatex does not guarantee that a review will identify errors, produce savings, recover amounts, reduce future charges, change an invoice, resolve a dispute, or achieve any particular financial, operational, legal, or commercial result. Any examples, estimates, observations, benchmarks, or past outcomes are illustrative only and do not promise future performance. Results depend on invoice content, governing agreements, billing guidelines, available documentation, cooperation, and decisions made by clients, counsel, and third parties.

5. Client Responsibilities

You are responsible for providing complete, accurate, current, and lawfully obtained information; maintaining necessary permissions and confidentiality protections; reviewing all findings before acting; obtaining legal or other professional advice when appropriate; and making all final business and payment decisions. You must not submit information that you are not authorized to disclose or instruct Aperatex to take any action that violates law, contract, professional duties, court rules, or third-party rights.

6. Permitted Use

You may use the website only for lawful business purposes and in accordance with these terms. You may not interfere with site operation or security; attempt unauthorized access; introduce malicious code; scrape, copy, reverse engineer, or exploit the website; impersonate another person; submit false or misleading information; infringe rights; or use the website to develop or benchmark a competing service without written permission.

APERATEX DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. APERATEX DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR NEEDS.

11. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APERATEX AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, SAVINGS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITIES; COSTS OF SUBSTITUTE SERVICES; OR CLAIMS ARISING FROM CLIENT, COUNSEL, VENDOR, OR THIRD-PARTY DECISIONS, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, SERVICES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID APERATEX FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT OR ONE HUNDRED U.S. DOLLARS. LIMITATIONS APPLY REGARDLESS OF THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.

12. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Aperatex and its owners, affiliates, officers, employees, contractors, service providers, and agents from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable professional fees arising from your use of the website or services; submitted information; breach of these terms; violation of law, contract, confidentiality, privilege, or third-party rights; or decisions and actions taken in reliance on findings or communications.

13. Release

To the maximum extent permitted by law, you release Aperatex and its owners, affiliates, officers, employees, contractors, service providers, and agents from claims and liabilities arising from disputes or dealings between you and outside counsel, vendors, insurers, advisers, or other third parties; decisions to pay, reject, negotiate, contest, or adjust invoices; alleged loss of privilege or confidentiality caused by your disclosure; and outcomes that depend on information, conduct, or decisions outside Aperatex’s reasonable control. This release does not apply where prohibited by law.

14. Disputes And Governing Law

Before filing a claim, each party agrees to provide written notice describing the dispute and attempt in good faith to resolve it informally for at least thirty days. Unless mandatory law requires otherwise, these terms are governed by the laws of the jurisdiction in which Aperatex is organized, without regard to conflict-of-law rules, and exclusive venue lies in the state or federal courts serving Aperatex’s principal place of business. Each party waives objections to personal jurisdiction and venue to the extent permitted by law.

15. Suspension, Changes, And Termination

Aperatex may modify, suspend, restrict, or discontinue the website or any service at any time, and may refuse or terminate access for suspected misuse, risk, nonpayment, conflict, legal concern, or breach of these terms. Aperatex may update these terms by posting a revised version and effective date. Continued use after an update constitutes acceptance to the extent permitted by law.

16. Miscellaneous And Contact

These terms and any separate signed service agreement form the agreement applicable to their subject matter. A signed service agreement controls if it expressly conflicts with these website terms. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these terms without written consent; Aperatex may assign them in connection with its business. Provisions intended by their nature to survive will survive termination.
